Zyrace POS is operated by Zyrace ("we", "us").
1. What these terms are
These terms are the agreement between Zyrace and the business that uses Zyrace POS ("you"). By creating an account, signing in, or using the service, you accept them. If you do not accept them, please do not use the service.
2. The service
Zyrace POS is a cloud point-of-sale and business management system: selling, stock, customers, suppliers, purchases, reports, and (where your plan includes them) staff, leave and payroll tools. You use it through a web browser. It is provided as a subscription.
3. Your account
- Shops are set up by our team. We create your account and send an invitation to your email.
- You sign in with a one-time code sent to your email, or with Google where offered.
- You are responsible for everything done through your account and your staff's accounts. Give staff only the permissions they need, and remove people who leave.
- Tell us straight away if you think someone else has access to your account.
- You must be at least 18 and authorised to act for your business.
4. Free trial and plans
- New shops get a 7-day free trial.
- After the trial, you need a paid plan to continue. Plans and prices are shown on our website and in the app, in Sri Lankan rupees.
- If your trial or subscription ends, there is a 3-day grace period when you can keep selling. After that, the account is suspended: your data is kept, but you cannot sell until you pay.
5. Fees and payment
- Subscriptions are billed monthly in advance.
- At present, payment is by bank transfer, and we activate your plan after we confirm the payment. If we add other methods, these terms apply to them too.
- Fees do not include any taxes unless we say so. You are responsible for taxes that apply to you.
- We may change prices. We will tell you at least 30 days before a price change affects you.
- Refunds: fees already paid are not refundable.
5A. Add-ons and extra modules
Some modules are sold separately or are included only in certain plans. If a module is not in your plan, you may not be able to use it. Plan contents can change; we will tell you before we remove something you are using.
6. Your data
- You own your business data: your products, sales, customers, suppliers, staff records and so on. We only use it to provide the service to you (see our Privacy Policy).
- You are responsible for having the right to enter personal data about your customers and staff, and for telling them how you use it.
- You can export your data from the app (reports and lists). Before you cancel, please export what you need.
- After cancellation we keep your data for 30 days so you can come back, then delete it, apart from backups (which expire as described in the Privacy Policy) and anything the law requires us to keep.
7. What you must not do
- Break the law, or use the service for fraud or to hide income.
- Try to access another shop's data, probe or attack the system, or overload it.
- Resell or share the service without our written permission.
- Upload harmful code or content that you do not have the right to use.
We may suspend an account that does these things.
8. Taxes, payroll and records
Zyrace POS helps you keep records and do calculations (for example VAT on bills, EPF and ETF figures in payroll). It is a tool, not professional advice. You are responsible for checking the figures with your accountant and for filing, paying and keeping the records the law requires. For example, a pharmacy must still keep the registers that the law requires of a pharmacy.
9. Availability and backups
We work hard to keep Zyrace POS available and we back up our systems every night, but we cannot promise that it will always be available or free of errors. Planned maintenance and events outside our control (internet, power, third-party services) can interrupt the service. Some functions work offline for a short time; these are described in the user guide.
10. Third-party services
The service relies on providers such as hosting, email delivery and sign-in. We are not responsible for failures of services that are outside our control, but we choose our providers carefully (see the Privacy Policy).
11. Our rights in the software
We own Zyrace POS, its design and its documentation. We give you a limited, non-transferable right to use it during your subscription. You may not copy it or reverse-engineer it. If you send us feedback, we may use it to improve the service.
12. Our liability
- We provide the service with reasonable care and skill.
- To the extent the law allows, we are not liable for indirect or consequential loss (lost profit, lost sales, loss of goodwill), or for loss caused by your misuse of the service or by incorrect data entered into it.
- To the extent the law allows, our total liability to you for any claim is limited to the fees you paid us in the 3 months before the claim.
- Nothing in these terms limits liability that cannot be limited by law.
13. Ending the agreement
- You can cancel at any time by telling us. The service continues until the end of the period you have paid for.
- We may suspend or end your account if you break these terms, do not pay, or if we must do so by law. Where we can, we will warn you first.
- Sections that by their nature should continue (data, liability, governing law) continue after the agreement ends.
14. Changes to these terms
We may update these terms. If a change is important, we will tell you by email or in the app before it applies. If you keep using the service after the change takes effect, you accept it.
15. Governing law
These terms are governed by the laws of Sri Lanka. Disputes will be dealt with by the courts of Colombo. We will always try to settle a problem with you directly first.
